本文的思维进路是：首先从传统公司法内部法权体系缺陷入手，分析了现行公司法内部法权体系重构的必要性；其次，提出劳动力权概念，认为它是公司法法权的核心范畴，必须加以认识，并同时论证了其生成之背景、权利享有之主体、存在之法理基础以及与劳权、劳动权等概念的比较分析；最后，提出“二次契约” (或称协作关系契约)理论，希冀由此作为切入点，对劳动力权进行微观经济法制度上的构设。
